Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and Paragon Government Solutions LLC DBA Quorum ("Quorum," "we," "us," "our") governing your use of the Quorum websites and applications (the "Service"). By creating an account or using the Service you accept these Terms on your own behalf and on behalf of the organization you represent.

Quorum is software — not a law firm, accounting firm, or registered agent. The Service organizes your governance work and provides general educational information and document templates. Nothing in the Service is legal, tax, or financial advice; no attorney–client relationship is created. Consult qualified professionals before relying on any template or checklist item. Tax-exempt status is granted by the IRS and state authorities, not by Quorum, and is never guaranteed.

1. The Service

Quorum provides a board portal for nonprofit organizations: a formation checklist, document workspace, electronic-signature routing, board motions and voting, meeting calendar, notes, and related features. Features may change as the Service evolves; we will not materially reduce the core functionality of a paid plan during a period you have already paid for.

You retain all rights to the documents, votes, notes, and other materials your organization stores in the Service ("Customer Content"). You grant us a limited license to host, process, transmit, and display Customer Content solely to provide the Service. You are responsible for the legality and accuracy of Customer Content and for maintaining your own copies of critical corporate records.

5. Acceptable use

You agree not to: (a) use the Service unlawfully or to store unlawful material; (b) attempt to access other organizations' data; (c) probe, disrupt, reverse engineer, or overload the Service; (d) resell or white-label the Service without our written agreement; (e) upload malware; or (f) misrepresent votes, signatures, or corporate records. We may suspend accounts that violate this section.

6. Electronic signatures and votes

Signature workflows are executed through third-party e-signature providers. You are responsible for confirming that electronic signatures and electronically recorded votes satisfy the legal requirements that apply to your organization and jurisdiction, including your own bylaws.

7. AI-generated drafts

Document drafts generated by the Service's AI features are starting points only. They may contain errors or be unsuitable for your circumstances, and must be reviewed by a qualified attorney before adoption or signature. You are solely responsible for any use of AI-generated content.

8. Third-party services

The Service interoperates with third-party services (such as DocuSeal, Google Calendar, Zoom, Intuit QuickBooks Payments, and email providers). Your use of those services is governed by their own terms, and we are not responsible for their acts, omissions, or availability.

9. Intellectual property

The Service — including software, design, templates (as distinct from your completed documents), and branding — is owned by Paragon Government Solutions LLC DBA Quorum and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.

10. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access for material breach of these Terms (including non-payment or chargebacks on valid charges) after notice where practicable. Upon closure of an account, we will make Customer Content available for export for 30 days, after which it may be permanently deleted.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY FILING, DOCUMENT, OR PROCESS WILL ACHIEVE ANY PARTICULAR LEGAL OR TAX OUTCOME.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA; AND (B) OUR TOTAL LIABILITY ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

13. Indemnification

You will defend and indemnify Paragon Government Solutions LLC DBA Quorum against third-party claims arising from your Customer Content, your violation of these Terms, or your violation of law, except to the extent caused by our breach of these Terms.

14. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflicts-of-law rules. Before filing any claim, you agree to contact us at support@quorumsuite.com and attempt in good faith to resolve the dispute informally for 30 days. Any dispute not resolved informally shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and both parties consent to their jurisdiction. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION TO THE EXTENT PERMITTED BY LAW.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before they take effect; continued use after the effective date constitutes acceptance. The "Effective" date above reflects the latest version.
